Acting pursuant to section 5.1.22 of the Minister of Finance of 19 February 2009 on current and periodic information released by of issuers of securities and conditions for recognising information required under regulations of a non-member state as equivalent (Journal of Laws of 2009, No.33, Item 259), ) (the "Ordinance") J.W. Construction Holding S.A. with its seat in Ząbki (the "Company") reports that on 1 June 2011 the Management Board was appointed for the second common term of office. According to the resolution of the Supervisory Board, the Management Board is composed of 4 (four) persons.
The Supervisory Board pursuant to its rights appointed the following persons to the Management Board:
1 / Mr Tomasz Panabażys as the Vice-Chairman of the Management Board. A description of Mr Tomasz Panabażys's educational background, professional qualifications and employment history along with an overview of his professional career has been provided in his CV attached to this message. Mr Tomasz Panabażys holds the positions in the bodies of the following companies: Lokum Ltd., with its seat in Warsaw ( a subsidiary of the Company) - The Chairman of the Management Board, J.W. Construction S.A with its seat in Ząbki (a subsidiary of the Company) - The Member of the Management Board, J.W. Wronia Ltd., with its seat in Ząbki - The Member of the Management Board. The business activity of any of these entities is not competitive with the Company. Mr. Tomasz Panabażys is not engaged in any business activity competitive with the Company, nor is a partner of any company whose business activity would be competitive with the Company and is not listed in the Register of Insolvent Debtors.

Mr Wojciech Rajchert holds the positions in the bodies of the following companies: Interlokum Ltd., with its seat in Warsaw ( a subsidiary of the Company) - The Chairman of the Management Board, J.W. Construction S.A with its seat in Ząbki (a subsidiary of the Company) - The Chairman of the Management Board, REM S.A with its seat in Nowogard- The Member of the Supervisory Board. The business activity of any of these entities is not competitive with the Company. Mr. Wojciech Rajchert is not engaged in any business activity competitive with the Company, nor is a partner of any company whose business activity would be competitive with the Company and is not listed in the Register of Insolvent Debtors.
Concurrently, the Company received, on 1 June 2011, a statement of exercise of the personal right by the shareholder and appointment of the following persons to the Management Board,
