Acting pursuant to section 5.1 point 5 of the Minister of Finance on Current and Periodical Reporting by Issuers of Securities and on Conditions of Accepting as Equivalent of the Information Required by Legal Regulations of a Non-member Country of 19 February 2009 (Journal of Laws No. 33/ 2009 item 259) ("the Ordinance") J.W. Construction Holding S.A. with its seat in Ząbki ("the Company") reports that on 20 May 2010, in connection with expiry of term of office and determining the number of members of the Supervisory Board that will be composed of 6 persons, the Company received a statement of exercise of the personal right by the shareholder holding more than 50% of the Company’s shares regarding appointment of the following persons to the Supervisory Board for the second joint term:
1/ Mr. Józef Wojciechowski as the Chairman of the Supervisory Board of the Company.
A description of Mr. Józef Wojeciechowski's educational background, professional qualifications and employment history along with an overview of his professional career has been provided in his CV attached to this communication. Mr. Józef Wojciechowski is the Chairman of the Management in the following companies: EHT S.A. with its seat in Luxembourg, WB Holding S.A. with its seat in Luxembourg, Famhold S.A. with its seat in Luxembourg, Hotel 500 Sp. z o.o. with its seat in Ząbki, J.W. Asset Menagemet with its seat in London, J.W. Consulting Sp. z o.o. with its seat in Warsaw, KSP Polonia Warszawa S.A. with its seat in Warsaw, the member of the following Supervisory Boards: Fair Wind S.A. with its seat in Warsaw, J.W. Construction S.A. with its seat in Ząbki, Monesta S.A. with its seat in Łódź, J.W. Biochemical S.A. with its seat in Ząbki, whose business activities are not competitive with respect to the Company’s busines. Mr. Józef Wojciechowski is not engaged in any activity competitive to the Company . and is not listed in the Register of Insolvent Debtors..
2/ Mr. Józef Oleksy. A description of Mr. Józef Oleksy's educational background, professional qualifications and employment history along with an overview of his professional career has been provided in Mr. Mr. Józef Oleksy's CV attached to this communication. Mr. Józef Oleksy is the Chairman of the Supervisory Board of KSP Polonia Warszawa and the Member of the Supervisory Board of Fair Wind S.A.with its seat in Warsaw, whose business activitiesare not competitive with respect to the Company’s busines. Mr. Józef Oleksy is not listed in the Register of Insolvent Debtors.
Together with Mr. Andrzej Podsiadło appointed on 13 May 2010, the Company informed thereof in the current report No.24/2010 of 14 May 2010, who was appointed by the entitled Shareholder for the remainder of the term of office beginning in 2010, the entitled Shareholder fully used His entitlement to appointing members of the Supervisory Board.
