Acting pursuant to section 70.1 of the Act on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies of 29 July 2005 (Journal of Laws No.184, item 1539 as amended), J.W. Construction Holding S.A. with its seat in Ząbki ("the Company"), hereby reports that on 15 April 2010 the Company received a notice of the following content:Pioneer Pekao Investment Management S.A (PPIM), by performing the service contract involving management of investment portfolio of funds entered into between Pioneer Pekao Towarzystwem Funduszy Inwestycyjnych S.A and Pioneer Pekao Investment Management SA and acting in accordance with article 69.1.2 of theAct on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies of 29 July 2005 (Journal of Laws of 2005, No. 184, item 1539)notifies of an increase in involvement up to 5.01% of the total number of votes at the General Meeting of the Company of J.W. Construction Holding S.A with its seat in Ząbki, near Warsaw, in respect of financial instruments included in the portfolio of PioneerFunduszu Inwestycyjnego Otwartego (Pioneer FIO) created by Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A ("the Association")
The above-mentioned change in shareholding resulted solely from the transformation of the open-end investment funds, which had been established by Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A into the subfunds of Pioneer FIO in the following way:
1) Pioneer Open-End Money Market Investment Fund was transformed into Pioneer Money Market subfund of Pioneer FIO;
2) Pioneer Open-End Bonds Investment Fund was transformed into Pioneer Bonds subfund of Pioneer FIO;
3) Pioneer Open-End Bonds Plus Investment Fund was transformed into Pioneer Bonds Plus subfund of Pioneer FIO;
4) Pioneer Open-End Stable Growth Investment Fund was transformed into Pioneer Stable Growth subfund of Pioneer FIO;
5) Pioneer Open-End Balanced Investment Fund was transformed into Pioneer Balanced subfund of Pioneer FIO;
6) Pioneer Open-End Active Allocation Investment Fund was transformed into Pioneer Active Allocation subfund of Pioneer FIO;
7) Pioneer Open-End Polish Equity Investment Fund was transformed into Pioneer Polish Equity subfund of Pioneer FIO;
8) Pioneer Open-End Polish SMEs Investment Fund was transformed into Pioneer Polish SMEs subfund of Pioneer FIO.
The said transformation was conducted on 9 April 2010 and as of that date Pioneer FIO assumed all the rights and obligations of the transformed funds.
Following that change the portfolio of Pioneer Open-End Investment Fund included in total 2,740,767 shares representing 5.01% of the share capital. These shares entitled to 2,740,767 votes or 5.01% voting interest at the Company's General Meeting of Shareholders.Before that change the portfolio of Pioneer FIO included in total 0 shares representing 0.00% of the share capital. Hence, these shares entitled to 0 votes or 0.00% voting interest at the Company's General Meeting of Shareholders.
