Appointment to the Company’s Management Board

Acting pursuant to section 5.1.(22) of the Ordinance of the Minister of Finance on current and periodical reporting by issuers of securities and on conditions of accepting as equivalent of the information required by legal regulations of a non-member country of 19 February 2009 (Journal of Laws No. 33/2009, item 259) (henceforth the Ordinance), J.W. Construction Holding S.A. with its seat in Ząbki, Poland (henceforth "Company") hereby reports that on 9 July 2009 the Company Supervisory Board passed resolutions on the appointment, as of that date, of Mr. Piotr Ciszewski and Mr. Tomasz Panabażys to the Company’s Management Board.
Mr. Piotr Ciszewski is the General Counsel, Legal Services Department Director as well as HR and Training Department Director in the Company. Mr. Ciszewski also runs his own legal advisor’s office - Kancelaria Radcy Prawnego Piotr Ciszewski, he is a partner in the patent law office Ciszewski & Kurcman Kancelaria Patentowa s.c., a Member of the Management Board of  KSP POLONIA WARSZAWA S.S.A. football sports club with its seat in Warsaw, and a Member of the Management Board of the Polish-German Lawyers’ Association. Mr. Ciszewski is not engaged in any activity competitive to the Company’s business.

Mr. Ciszewski has not been entered in the Register of Insolvent Debtors (Rejestr Dłużników Niewypłacalnych).
Mr. Tomasz Panabażys is in charge of sales and marketing in the Company. Apart from the Company, Mr. Panabażys also runs his own business pursuant to an entry in the commune register, whereby he provides services to a Company's subsidiary. Mr. Panabażys is not engaged in any activity competitive to the Company’s business.
A description of Mr. Tomasz Panabażys' educational background, professional qualifications and employment history along with an overview of his professional career have been provided in Mr. Panabażys' CV attached to this report. Mr. Panabażys has not been entered in the Register of Insolvent Debtors (Rejestr Dłużników Niewypłacalnych).
