Registration of a merger with a subsidiary

Acting pursuant to section 5.1.(14) of the Ordinance of the Minister of Finance on current and periodical reporting by issuers of securities of 19 October 2005 (Journal of Laws of 2005 No. 209, item 1744) (henceforth the Ordinance), J.W. Construction Holding S.A., with its seat in Ząbki, Poland (henceforth the Company) hereby reports that on 8 December 2008 , it received a decision of the District Court for the Capital City of Warsaw, 14th Commercial Division of the National Court Register, issued on 5 December 2008 in the case No. WA.XIV NS-REJ.KRS/24585/08/400, by virtue of which the merger of the Company with its subsidiary – a company under the name of PRZEDSIĘBIORSTWO TURYSTYCZNE "CZARNY POTOK" S.A., with its seat in Krynica, Poland (henceforth the Acquiree) was registered. The merger was executed in line with the procedure set forth in Article 492 § 1 point 1) of the Code of Commercial Companies by transferring the total assets of the Acquiree to the Company (a merger by acquisition). The acquired company has the right to perpetual usufruct of land in Krynica with a leisure centre situated thereon, which is now being converted into a four-star hotel with five-star SPA/Wellness centre.
