Acting pursuant to § 5 sec. 1 point 1) of the Regulation of the Minister of Finance of October 19, 2005 on current and periodic information transmitted by the issuers of securities (Journal of Laws No. 209, item 1744) (the "Regulation"), J.W. Construction Holding S.A. with its registered office in Ząbki (the "Company") would like to inform that on June 3, 2008, the Company received a notification from the District Court in Pruszków, 6th Land and Mortgage Register Division (the "Court"), of May 28, 2008, informing about entering on May 27, 2008, in section 4 of the Land and Mortgage Register maintained for the following properties:
1. a land property with the surface area of 1 ha, located in Kaputy, in the municipality of Ożarów Mazowiecki, Land and Mortgage Register no. WA1P/00000925/7 maintained by the Court,
2. a land property with the surface area of 13.9976 ha, located in PGR Kręczki Kaputy [state agricultural enterprise], in the municipality of Ożarów Mazowiecki, Land and Mortgage Register no. WA1P/00068658/8 maintained by the Court,
3. a land property with the surface area of 7.07 ha, located in PGR Kręczki Kaputy, in the municipality of Ożarów Mazowiecki, Land and Mortgage Register no. WA1P/00035375/0 maintained by the Court,
(the "Properties")
a contractual capped mortgage, established for the benefit of Bank Ochrony Środowiska S.A. Division No. 1 in Warsaw (the "Bank"), in the amount of PLN 160,000,000. The mortgage was established in connection with concluding an annex increasing the amount of credit granted by the Bank and the change of collateral about which the Company informed in the Current Report no. 19/2008.
The value of the Properties is entered in the Company’s accounting books at their purchase price and does not exceed 10 % of the Company’s equity capital. There are no connections between the Bank, or the persons managing the Bank, and the Company, or the members of its Management Board or Supervisory Board. The criterion making the said mortgage subject to disclosure in accordance with § 5 sec. 1 point 1) of the Regulation was its amount exceeding the Polish zloty equivalent of EUR 1,000,000.
