Registration of share capital increase

Acting under Art. 5 par. 1 item 9) of the Ordinance of the Minister of Finance dated 19 October 2005 concerning current and periodic information provided by issuers of securities (Journal of Laws No. 209, item 1744), J.W. Construction Holding S.A. with the registered office in Ząbki ("Company") notifies of its receipt on 2 June 2008 of the decision dated 26 May 2008 communicating that the District Court for the capital city of Warsaw, 12th Business Division of the National Court Register, has registered the increase in share capital of JW Projekt Spółka z o.o. with the registered office in Warsaw ("Subsidiary"), from PLN 52,000 to PLN 1,155,600, i.e. by an amount of PLN 1,103,600.

Following the registration of the change, the Subsidiary's share capital amounts to PLN 1,155,600, and divides into 5,778 shares of a nominal value of PLN 200 each. The total number of votes following the registration of the share capital increase is 5,778.

The increased share capital was covered with a contribution in kind in the form of an organized part of the Company's enterprise, the branch preparing balance-sheets on its own, having the business name J.W. Construction Holding S.A. Oddział "Pracownia Architektoniczna" with the registered office in Ząbki ("Branch"). The book value of assets contributed in kind amounted to PLN 1,738,299.38 in the Company's books of accounts, whereas the value of assets at which they were contributed amounted to PLN 1,738,299.38.

The Company also informs that information on spinning off the organized part of the Company's enterprise being the Branch, and its contribution in kind to the Subsidiary is contained e.g. in the Company's Current Report no. 17/2008 dated 1 April 2008.
