Execution of the Significant Agreement

Acting pursuant to § 5 (1) (3) of the Regulation of the Minister of Finance of 19 October 2005 on Current and Periodical Disclosures by Issuers of Securities (Journal of Laws No. 209, Item 1744) (the “Regulation”), J.W. Construction Holding S.A. with its seat in Ząbki (the “Company”) hereby announces that on 11 April 2008 it signed an annex (the “Annex”) to the PLN Revolving Working Capital Facility Agreement made with Bank Ochrony Środowiska S.A. on 17 September 2007 for partial financing of the costs of implementation of the project called “Górczewska Park” (the “Agreement”). Detailed information about the subject matter of the Agreement and its material terms and conditions are set out in Current Report 43/2007 of 18 September 2007 and in Current Report 76/2007 of 19 December 2007.
By virtue of the Annex, the facility amount was increased from PLN 60,000,000 to PLN 115,000,000, i.e., by PLN 55,000,000. At the same time, the facility collateral was modified by increasing up to PLN 160,000,000 the amount of contractual maximum mortgage formed on the real property located in Warsaw at 181 Górczewska Street (KW WA4M/00146188/1), and, furthermore, additional collateral was established in the form of contractual maximum mortgage up to PLN 160,000,000 ranking first on the following real properties:
1. Land property of 1 ha, located in Kaputy, Commune of Ożarów Mazowiecki, Land and Mortgage Register No. WA1P/00000925/7 maintained by the District Court in Pruszków;
2. Land property of 13.9976 ha, located in PGR Kręczki Kaputy, Commune of Ożarów Mazowiecki, Land and Mortgage Register No. WA1P/00068658/8 maintained by the District Court in Pruszków;
3. Land property of 7.07 ha, located in PGR Kręczki Kaputy, Commune of Ożarów Mazowiecki, Land and Mortgage Register No. WA1P/00035375/0 maintained by the District Court in Pruszków;
4. Land property of 0.5261 ha, located in Szczecin, ul. Odzieżowa 33/ Aleja Wyzwolenia, Land and Mortgage Register No. SZ1S/00082676/9 maintained by the District Court in Szczecin;
5. Land property of 0.1478 ha, located in Szczecin, ul. Wyzwolenia 50, Land and Mortgage Register No. SZ1S/00082677/6 maintained by the District Court in Szczecin.
The increased facility amount will be made available to the Company upon submission of a confirmation that a motion was paid and submitted to increase the amount of maximum mortgage securing the loan facility in the Land and Mortgage Register No. WA4M/00146188/1 and also in the land and mortgage registers mentioned in Points 1 – 5 above.
