Article 56 paragraph 1 subparagraph 2 included in the Act on Offer – Current and Periodical Information

Acting on the basis of § 33 paragraph 1 included in the Decree of Finance Minister of 19th October 2005 regarding the Current and Periodical Information handed over by the Issuers of Securities (Journal of laws 2005, No 209 Item 1744) J.W. Construction Holding S.A. having its head office in Ząbki (“Company”) in supplementation the Report of the Company No 9/2007 dated 31st May 2007 hands over the information about the costs of the Offer accomplished on the basis of the Emission Prospectus of the Company of 9th May 2007 including further amendments (“Prospectus”). Unless reserved otherwise in the content of the present Report, the terms with initial capital letter have the meaning assigned to them in Prospectus.
1. Joint determination of the costs classified as the Offer costs
Joint amount of the costs classified as the Offer costs is equal to 24.251.896,87PLN (including the costs incurred by the Company: 9.874.396,87 PLN)
including particularly the following : 
The costs of preparation and realization of the Offer - 21.137.852,76 PLN (including 6.760.352,76PLN incurred by the Company),
a/m amount encompasses the remuneration for the Main Coordinator for the placement of shares in amount of 20.987.852,76PLN (including 6.610.352,76PLN incurred by the Company)
The costs of preparation of the Emission Prospectus including consulting costs – 2.187.341,22 PLN (incurred by the Company)
The costs of Offer promotion – 926.702,89 PLN (incurred by the Company)
The emission costs will be settled in the books and included in the Financial Report of the Company in manner determined in Art. 36 paragraph 2b included in the Accounting Act i.e. the costs will be credited.
- to the reduction of reserve capital – up to the amount of the margin of emission value of shares over their nominal value:
- in charge of financial costs – in remaining part.


2. Average costs of subscription and sales per one share in the framework of the Offer amounts – 2,22 PLN
A/m values have been established according to the status as at the date of preparation of the present report on the basis of information handed over to the Company by the objects rendering the services to the benefit of the Company in connection with the Offer. If any information potentially affecting the final settlement of the Offer costs are obtained by the Company, relevant information will be announced by the Company to the public according to the same procedure.
