The Management Board of J.W. Construction Holding S.A. with its registered office in Ząbki ("Company"), in reference to the information provided on 2 June 2020 in the current report 44/2020, updated on 3 September 2020 in the current report 66/2020 concerning the preliminary contract of sale and the preliminary contract to the conditional contract of sale of the real estate remaining in perpetual usufruct of the Company located in Szczecin in the area of Franciszka Ksawerego Druckiego- Lubeckiego Street ("Agreement") comprising plots:
numbered: 10/1, 11/1, 12/1 from section 101, No 10 from section 19, No 11 from section 326201_1.3019 and No 9/2 from section 97 with a total area of 3.7983 ha ("Real Estate 1") for the amount of 7.976.420,00 PLN net plus VAT at the applicable rate
numbered: 8/5, 8/6 and 8/7 from section 3019 with a total area of 9.4586 ha ("Real Estate 2") for the amount of PLN 19,863,060.00 net plus VAT at the applicable rate;
Hereinafter referred to collectively as "Properties".
informs that, on October 30, 2020 the Parties concluded:
I) an annex, subject to which to following have been amended:
1) Total sale price of the Properties from the amount of 27,839,490 PLN net to the amount of 28,339,490 PLN net, i.e. by the amount of 500,000 PLN net, which will be increased by the VAT at the applicable rate, through proportional increase of prices of Real Estate 1 and Real Estate 2;
2) The deadline for the final conclusion of the sale and the transfer agreement in the execution of the conditional agreement was set for no later than 15 December 2020;
3) It has been established that on the day of concluding the conditional sale contract, the Buyer shall pay to the Seller part of the sale price in the amount of PLN 5,667,898.00 gross, to which the Parties have given the character of an advance payment within the meaning of Article 394 of the Civil Code of 23 April 1964. The payment shall be made from the notary's deposit, upon presentation of an extract documenting the conclusion of the conditional sale agreement for Real Estate 1.
II) a conditional contract of sale of Real Estate 1 for the net price of PLN 8,118,930.00, which will be increased by VAT at the applicable rate. Conclusion of the final agreement is conditional on the City of Szczecin not exercising its pre-emptive right to the property in question. The Buyer paid to the notarial deposit a part of the sale price in the amount of PLN 5.667.898,00 gross, which will be released to the Company after presenting to the notary a copy of the notarial deed documenting the conclusion of the conditional contract of sale of the Real Estate 1. The date of conclusion of the transfer contract was set no later than 15 December 2020.
