Subject: Establishment of collateral provided for in the terms and conditions of issue of ISIN PLJWC0000126 bonds

Content of the report:
In reference to the current report 41/2020 of 29 May 2020, Management Board of J.W. Construction Holding S.A. ("Company") informs that on 15 June 2020 Company established security for bonds of series JW10522 marked with ISIN code PLJWC0000126 in the total number of 94,000 with the current nominal value of PLN 450 each ("Bonds") provided for in the amended terms and conditions of issue on 29 May 2020.
As collateral :
1) A declaration was made in the form of a notarial deed on the establishment of a total contractual mortgage up to the maximum amount of PLN 63,450,000, which corresponds to 150% of the amount of the nominal value of the Bonds outstanding as at the date of establishment, on:
a) The Company's ownership right to each of the premises located in a building constructed on real estate in Krakow at 86, 88, 90 Dietla Street; 19, 21 Wielopole, comprising a plot of land numbered 124/1 for which the land and mortgage register number KR1P/00008281/4 is kept, i.e. the ownership right to each of the 33 separate premises for which separate land and mortgage registers number KR1P/00008281/4 are kept: KR1P/00568567/6, KR1P/00568568/3, KR1P/00568569/0, KR1P/ 00568570/0, KR1P/00568571/7, KR1P/00568581/ 0, KR1P/00568582/7, KR1P/00568583/4, KR1P/00568584/1, KR1P/00568585/8, KR1P/00568586/5, KR1P/00568587/2, KR1P/00568588/9, KR1P/00568589/6, KR1P/00568590/6, KR1P/00568591/3, KR1P/00568592/0, KR1P/00568593/7, KR1P/00568594/4, KR1P/00568595/1, KR1P/00568596/8, KR1P/00568597/5, KR1P/00574796/5, KR1P/00574797/2, KR1P/00574798/9, KR1P/00574799/6, KR1P/00574800/7, KR1P/00574803/8, KR1P/00574805/2, KR1P/00574807/6, KR1P/00574808/3, KR1P/00574809/0, KR1P/00574810/0, together with associated rights, i.e. shares in the land property on which the building in which the premises covered by the land and mortgage register number KR1P/0000008281/4 are located, and
b) the Company's right of perpetual usufruct, owned by the Capital City of Warsaw, of real property located in Warsaw, Ursynów district, at Pileckiego Street, comprising a plot of land no. 5/1 for which the land and mortgage register no. WA2M/00110066/5 is kept, and
c) the Company's ownership right to real estate located in Warsaw, Białołęka district, Lewandów St., comprising a plot of land numbered 59/2, 49/5, 59/3, 50/5, 51/2, 52/5, 59/4, 59/5, 60/3, 60/4, 60/5, 60/6, 61/9, 22/5, 23/5, 24/3, 25/5/5, 29/5, 22/7, 23/7, 24/5, 25/7, 29/7, for which a land and mortgage register No. WA3M/00506268/1 is maintained ("Mortgage"); The mortgage was established of equal priority with a total contractual mortgage up to the maximum amount of PLN 34,650,000 constituting a security for bonds issued by the Company series JWC0522 marked with ISIN code PLJWC0000118.
At the same time, in the act establishing the Mortgage, the Company submitted to the Mortgage Administrator, i.e. DJM Trust Spółka z o.o. with its registered office in Warsaw, to the rigour of execution from the object of the Mortgage, directly from the notarial deed, up to the amount of PLN 63,450,000, pursuant to Article 777(1) point 6 of the Code of Civil Procedure In addition, 12 blank promissory notes were issued and transferred to DJM Trust Sp. z o.o. with its registered office in Warsaw as the Security Administrator, together with a promissory note declaration, which the Security Administrator is entitled to fulfil in the event of any default on payment of liabilities under the Bonds in accordance with the terms and conditions set forth in the terms and conditions of the Bonds issue, up to an amount not exceeding PLN 63,450,000, which corresponds to 150 % of the amount of the nominal value of the Bonds outstanding as at the date of their issue. At the same time, the Company submitted to the Security Administrator to rigorous enforcement from a notarial deed up to the amount of PLN 63,450,000 pursuant to Art. 777 § 1 point 5 of the Code of Civil Procedure
