Report Subject: establishment of a mortgage
Acting in pursuance of § 5, par. 1 of the Regulation of the Minister of finance of 19 February 2009 on the current and periodic information provided by issuers of securities and the conditions for recognition as equivalent the information required by national laws of the country which is not a member state (Journal of Laws 2009, No. 33, item 259) (“the Regulation”) J.W. Construction Holding S. A. with its registered office in Ząbki (the “Issuer”) hereby reports that on 25 Sept. 2015, it became aware that the District Court for Warsaw Mokotów in Warsaw, 9th Mortgage Register Division – on 23 Sept. 2015 – entered a mortgage in Section IV of the following land and mortgage registers:
WA3M/00444291/8 kept for the property right referring to land plots no. 89/2, 90/2, 92/2 and 93/2 belonging to the Issuer, covering a total area of 2.2905 hectare, located in Warsaw in the Białołęka District;
WA3M/00441105/7 kept for the property right referring to land plots no. 43, 44, 102/1, 101/1, 100/1, 98/5, 98/4, 98/3, 98/2, 97/1, 95, 94, 93/1, 92/1, 91, 90/1, 89/1, covering a total a total area of 6.7167 hectares, located in Warsaw in the Białołęka district (“real estate”),
in the amount of PLN 52,500,000 for the benefit of Bank Ochrony Środowiska S.A. with its registered office in Warsaw (“Bank”).
The mortgage secures the repayment of the loan granted by the Bank to the Company in the amount of PLN 35,000,000, the interest, commissions and fees, and other incidental receivables.
The value of the encumbered real estate in the accounting books of the Issuer amounts to PLN 19,962,766.
In the real estate, the Issuer plans to execute a residential investment, consisting in the building of a multi-family unit with residential premises for sale. The investment is divided into two phases.
There are no links between the Company, the Issuer, their managers, and the Bank and its managers.
The basis of this report is that the value of the mortgage established exceeds the equivalent of 1,000,000 EUR converted at the average rate published by the National Bank of Poland on the day on which the information obligation was created.
