Report Subject: submission of a court expert’s opinion pertaining to the Merger Plan

Acting on the basis of § 5, par. 1, item 13) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information provided by issuers of securities and the conditions for recognition as equivalent the information required by the law of the country which is not a member state (Journal of Laws No. 33, 2009, item 259) (“Regulation”) J.W. Construction Holding S.A. with its registered office in Ząbki (“the Company”) hereby makes public the opinion of an expert appointed by the Court to examine the Merger Plan of 16 March 2015, signed between the Company as the Acquiring Entity and its subsidiaries: the company named. J.W. 6 Sp. z o. o. with its registered office in Ząbki, the company named J.W. Group Sp z o. o. with its registered office in Ząbki, the company named J.W. Group sp. z o.o. 1 S.K.A. with its registered office in Ząbki, the company named J.W. Group sp. z o.o. 2 S.K.A. with its registered office in Ząbki, Lokum Spółka z o. o. with its registered office in Warsaw (“Acquired Companies”).

The Merger Plan together with appendices was made public through the current report No. 9/2015 on 17 March 2015.

The Merger Plan will be audited by an expert appointed by the Court in connection with art. 520 of CCC.

The opinion has been attached to materials of which the shareholders may take cognizance at the Company’s registered office in Ząbki at 326 Radzymińska street, Monday through Friday from 9 am to 4 pm.
